RECESS PARTICIPANT WAIVER, RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION AGREEMENT

Please read carefully before signing. This is a legal document that affects your rights.

In consideration for being permitted to participate in any event, activity, program, gathering, league, tournament, social outing, happy hour, mixer, recreational activity, or other function organized, hosted, promoted, or facilitated by Recess, LLC ("Recess"), I agree as follows:

1. VOLUNTARY PARTICIPATION

I acknowledge that my participation in Recess events is entirely voluntary. I understand that I am free to decline participation in any activity and that I am responsible for determining whether I am physically, mentally, and emotionally capable of participating.

2. ASSUMPTION OF RISK

I understand and acknowledge that participation in social, recreational, athletic, and group activities involves inherent risks that cannot be completely eliminated.

Such risks may include, but are not limited to:

• Slips, trips, falls, and other accidents

• Physical exertion and sports-related injuries

• Collisions with participants, spectators, equipment, or objects

• Injuries arising from recreational activities such as cornhole, pickleball, walking tours, outdoor events, and similar activities

• Weather-related conditions

• Property damage or loss

• Illness, communicable diseases, or infections

• Actions, omissions, or conduct of other participants

• Risks associated with meeting, interacting, communicating, or socializing with other attendees

I knowingly and voluntarily assume all risks, known and unknown, associated with my participation in any Recess event.

3. HEALTH ACKNOWLEDGMENT

I acknowledge that some activities may require physical activity. I accept full responsibility for determining whether I am capable of safely participating and understand that Recess makes no representations regarding the suitability of any activity for my individual condition.

4. SOCIAL INTERACTION DISCLAIMER

I understand that Recess is a social organization that provides opportunities for adults to meet and interact.

I acknowledge that Recess does not conduct criminal background checks on participants and does not investigate, verify, endorse, supervise, guarantee, or make representations regarding the character, intentions, identity, background, safety, or conduct of any participant.

I assume full responsibility for all interactions and communications with other attendees before, during, and after any event.

5. PARTICIPANT CODE OF CONDUCT

I agree to behave respectfully toward all participants, hosts, venue staff, and members of the public.

I agree not to engage in:

• Harassment

• Discrimination

• Threatening behavior

• Unwanted physical contact

• Intoxicated or disruptive conduct

• Illegal activity

• Any behavior that creates an unsafe or uncomfortable environment

I understand that Recess reserves the right to remove any participant from an event without refund for conduct deemed inappropriate, disruptive, unsafe, or contrary to the purposes of the organization.

6. ALCOHOL RESPONSIBILITY

If alcoholic beverages are available at an event, I acknowledge that I am solely responsible for my own consumption of alcohol and any consequences resulting from that consumption.

I agree not to operate a motor vehicle while impaired and understand that Recess assumes no responsibility for injuries, damages, losses, or claims arising from my consumption of alcohol.

7. TRANSPORTATION

I understand that transportation to and from events is solely my responsibility.

Recess assumes no responsibility for accidents, injuries, losses, or damages that occur while traveling to or from any event location.

8. THIRD-PARTY VENUES

I acknowledge that many Recess events take place at venues owned and operated by third parties.

Recess does not own, manage, control, or maintain such premises and is not responsible for the condition of those premises or for the acts or omissions of venue owners, employees, contractors, or guests.

9. COMMUNICABLE DISEASES

I understand that attendance at public gatherings may increase the risk of exposure to communicable illnesses, including but not limited to COVID-19, influenza, and other infectious diseases.

I knowingly assume all risks associated with such exposure.

10. PHOTO, VIDEO, AND MEDIA RELEASE

I grant Recess permission to photograph, film, record, or otherwise capture my image, likeness, voice, and appearance during events.

I authorize Recess to use such materials for advertising, marketing, social media, website content, promotional materials, and other business purposes without compensation or further approval.

11. RELEASE OF LIABILITY

To the fullest extent permitted by law, I release, waive, discharge, and covenant not to sue Recess, LLC, its owners, members, officers, employees, volunteers, independent contractors, event hosts, sponsors, venue partners, agents, representatives, successors, and assigns from any and all claims, liabilities, demands, damages, losses, costs, expenses, or causes of action arising out of or related to my participation in any Recess event.

This release includes claims arising from negligence to the fullest extent permitted by applicable law.

12. INDEMNIFICATION

I agree to indemnify, defend, and hold harmless Recess, LLC, its owners, members, officers, employees, volunteers, independent contractors, event hosts, sponsors, venue partners, agents, representatives, successors, and assigns from and against any claims, demands, liabilities, damages, costs, expenses, or attorney's fees arising from:

(a) my participation in any Recess event;

(b) my conduct during or after any Recess event; or

(c) my violation of this Agreement.

13. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island.

15. ELECTRONIC SIGNATURE

I agree that my electronic signature shall have the same force and effect as an original handwritten signature.
